Welcome to Chaz. These Terms of Service ("Terms") govern your access to and use of the Chaz mobile application (the "App"), operated by Starquest Studio LLC ("we," "us," or "our"), a Massachusetts limited liability company.

By downloading, installing, or using Chaz, you agree to be bound by these Terms. If you do not agree, please do not use the App.

1. Description of Service

Chaz is a mobile wellness application that provides structured learning content, guided journaling, mood tracking, habit building tools, and optional AI-powered features designed to support users through emotional recovery and personal growth.

The App delivers curated content through interactive courses and self-reflection tools. Access to certain features may require a paid subscription.

2. Eligibility

You may use Chaz if you are at least 13 years of age. If you are under 18, you represent that you have obtained parental or guardian consent to use the App and agree to these Terms.

By using the App, you represent and warrant that you meet these eligibility requirements.

3. User Accounts & Data

Chaz does not require account creation, login credentials, or identity verification. All personal content you create within the App—including journal entries, mood check-ins, habit data, and course progress—is stored locally on your device.

You are solely responsible for maintaining the security of your device and any data stored within the App. We cannot access, recover, or restore your locally stored data.

4. Subscriptions & Payments

4.1 Subscription Plans

Chaz offers both free and paid subscription tiers. Paid subscriptions unlock additional content and features. Multiple subscription periods may be available (e.g., monthly, yearly).

4.2 Billing

All purchases are processed exclusively through Apple In-App Purchases via the App Store. We do not directly collect or store any payment or billing information. Apple's terms and policies govern all payment transactions.

4.3 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period unless you cancel at least 24 hours before the current period ends. You can manage or cancel your subscription at any time through your Apple ID settings.

4.4 Free Trials

We may offer free trial periods at our discretion. If a trial converts to a paid subscription, you will be charged at the end of the trial period unless you cancel beforehand. Trial eligibility is determined by Apple and may be limited to one trial per user.

4.5 Price Changes

We reserve the right to modify subscription pricing. Any price changes will take effect at the start of your next billing cycle, and you will be notified in advance via the App Store. Continued use of the App after a price change constitutes acceptance of the new pricing.

5. Intellectual Property

All content, materials, designs, graphics, text, courses, animations, and software within the App are the exclusive property of Starquest Studio LLC or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes, subject to these Terms.

You may not:

• Copy, modify, distribute, or create derivative works based on the App or its content
• Reverse engineer, decompile, or disassemble any part of the App
• Use the App's content for commercial purposes without written permission
• Remove or alter any proprietary notices, trademarks, or branding
• Resell, sublicense, or transfer your access to the App

6. AI-Powered Features

Chaz offers optional AI-powered features that use third-party artificial intelligence services to process your inputs and generate personalized responses, reflections, and insights.

• AI features are only activated with your explicit consent, requested during onboarding or in the App's settings.
• When you use an AI-powered feature, the content you submit (such as a journal reflection or prompt) may be sent to a third-party AI provider for processing.
• We may also use anonymized or aggregated usage data to improve the quality and relevance of AI-generated content.
• You may disable AI features at any time from the App's settings. The App will continue to function without them.
• AI-generated content is provided for informational and self-reflection purposes only and does not constitute professional advice of any kind.

7. Health & Wellness Disclaimer

Chaz is not a medical device, therapy service, or substitute for professional mental health care.

The App provides general emotional wellness tools, educational content, and self-reflection exercises. It does not provide medical diagnosis, clinical treatment, counseling, or crisis intervention.

You acknowledge and agree that:

• The App is designed for general wellness and educational purposes only
• No content within the App should be interpreted as medical, psychological, or therapeutic advice
• AI-generated responses are not a substitute for professional consultation
• You should seek immediate professional help if you are in crisis or experiencing a mental health emergency

If you are in immediate danger or experiencing a mental health crisis, please contact emergency services (911) or the 988 Suicide & Crisis Lifeline (call or text 988).

8. User Conduct

You agree to use the App in accordance with all applicable laws and these Terms. You may not:

• Use the App for any unlawful purpose
• Attempt to gain unauthorized access to the App's systems or infrastructure
• Interfere with or disrupt the operation of the App
• Use automated means (bots, scrapers, etc.) to access the App or its content
• Misrepresent your identity or affiliation when using the App

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The App is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied.
• We do not warrant that the App will be uninterrupted, error-free, or free of harmful components.
• We disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

In no event shall Starquest Studio LLC, its officers, directors, members, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, loss of profits, or emotional distress, arising out of or in connection with your use of the App.

Our total aggregate liability for any claims arising from your use of the App shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or fifty U.S. dollars ($50), whichever is greater.

10. Indemnification

You agree to indemnify, defend, and hold harmless Starquest Studio LLC and its officers, directors, members, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of the App
• Your violation of these Terms
• Your violation of any applicable law or regulation
• Any claim that your use of the App caused damage to a third party

11. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice. You may stop using the App and delete it from your device at any time.

Upon termination, all locally stored data will remain on your device until you delete the App. Your subscription, if applicable, will continue until the end of your current billing period unless separately canceled.

12. Modifications to These Terms

We may update these Terms from time to time. When we do:

• The "Last Updated" date at the top will be revised.
• Material changes may be communicated within the App or via the App Store.
• Continued use of the App after changes are posted constitutes acceptance of the revised Terms.

If you do not agree with the updated Terms, you should discontinue use of the App.

13. Dispute Resolution

13.1 Informal Resolution

Before filing any formal legal action, you agree to first contact us at adam@starquest-studio.com and attempt to resolve the dispute informally for at least thirty (30) days.

13.2 Arbitration

If the dispute cannot be resolved informally, you and Starquest Studio LLC agree that any dispute arising out of or relating to these Terms or the App shall be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court.

Arbitration shall take place in Berkshire County, Massachusetts, or remotely at the election of either party. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Starquest Studio LLC.

13.4 Exceptions

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent infringement of intellectual property rights.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law provisions.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Starquest Studio LLC regarding your use of the App and supersede all prior agreements, understandings, or representations.
